1. Introduction and Acceptance

1.1. These Terms and Conditions ("Terms") govern your access to and use of AIMES.AI and its associated services ("Service" or "Services"), operated by Close Networks AG ("we," "us," "our," or "Company"), with registered office at Grabenstrasse 25, 6340 Baar, Switzerland.

1.2. Our Services include various artificial intelligence-powered information and assistance services, delivered through multiple messaging platforms including but not limited to WhatsApp, Viber, Messenger, Telegram, SMS, and Line ("Messaging Platforms").

1.3. By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

1.4. You must be at least 16 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement.

2. Service Description

2.1. Service Overview

Our Services provide artificial intelligence-powered solutions through various Messaging Platforms. The Services are designed to process and respond to user inputs through these platforms, providing automated assistance and information.

2.2. Service Availability

The Services are provided "as is" and "as available." We strive to maintain continuous service availability but do not guarantee uninterrupted access to the Services. Service availability may be affected by various factors including, but not limited to, Messaging Platform availability, technical maintenance, network connectivity, and third-party service dependencies.

2.3. Platform Requirements

To use our Services, you must have an active account on at least one of the supported Messaging Platforms and comply with their respective terms of service. You are responsible for maintaining necessary software, hardware, and internet connectivity required to access the Services.

2.4. Service Limitations

Our Services utilize various artificial intelligence models which include built-in safeguards and limitations. These safeguards may restrict certain types of outputs or responses. We maintain sole discretion over these limitations and reserve the right to modify them at any time.

3. Trial and Subscription Terms

3.1. Trial Period

We offer a trial for new users of each of our Services, limited to either a 14-day period from the user’s first request, or up to 10 messages (excluding responses and “Setup Messages”), which ever limit is reached first. Setup Messages are messages used to set or update user preferences or settings related to a Service (e.g.: giving consent to T&Cs, setting the target language on a translation service and similar). Upon completion of the trial, users will receive an invitation through their chosen Messaging Platform to subscribe to continue using the Services.

3.2. Fair Use Policy

While our Services do not have strict usage limitations, we operate under a fair use policy. We reserve the right to suspend or terminate service access if we determine, in our sole discretion, that usage patterns indicate abuse or excessive use that may impact service quality for other users.

3.3. Subscription and Payment

All payments are processed through Stripe, and by subscribing to paid Services, you agree to Stripe's terms of service. Subscriptions are available on both monthly and annual bases. Monthly subscriptions may be canceled at any time, while annual subscriptions must be canceled before the renewal date to prevent automatic renewal for another year. No refunds will be provided for partially used subscription periods.

4. User Obligations and Prohibited Use

4.1. Legal Compliance

You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations. Any use of the Services for illegal activities is strictly prohibited and will result in immediate termination.

4.2. Usage Restrictions You agree not to:

• Engage in any activity that could disable, overburden, or impair the proper functioning of the Services
• Attempt to gain unauthorized access to the Services or related systems
• Use the Services for any unlawful purpose or to promote illegal activities
• Interfere with other users' access to or use of the Services
• Resell or commercially redistribute the Services or their outputs without our explicit written permission

4.3. Commercial Use

While personal and business use of the Services is permitted under these Terms, any resale, commercial redistribution, or integration of the Services into commercial products or services requires explicit written permission from Close Networks AG. Unauthorized commercial redistribution is strictly prohibited.

5. Intellectual Property Rights

5.1. Ownership

You acknowledge that we retain all rights, title, and interest in and to the Services, including all intellectual property rights. By using our Services and providing input, you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, and distribute such input.

5.2. Feedback

Any feedback, suggestions, or ideas provided through the AIMES.AI website, our support numbers, or email may be used by us without any obligation to compensate you for them and you grant us all necessary rights to do so.

6. Limitation of Liability and Indemnification

6.1. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether expressed or implied. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.

6.2. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from or relating to the use or inability to use the Services. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses.

6.3. Indemnification

You agree to indemnify, defend, and hold harmless Close Networks AG, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorneys' fees) relating to or arising out of your use of the Services, including any breach of these Terms or violation of any rights of a third party.

7. Termination

7.1. Termination Process

We may suspend or terminate your access to the Services if we determine, in our sole discretion, that you have violated these Terms. Prior to termination, we will provide one warning notice. Subsequent violations will result in immediate termination without further notice.

7.2. Post-Termination

Upon termination, your right to access and use the Services will immediately cease. We will delete your user data to the extent possible, though certain information (such as phone numbers and billing information) may be retained as required by law.

8. Governing Law and Dispute Resolution

8.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions.

8.2. Dispute Resolution

Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively through arbitration at the Zurich Arbitration Court. The arbitration proceedings shall be conducted in English.

9. Modifications to Terms

9.1. We reserve the right to modify these Terms at any time. We will notify users of any material changes through the Services. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.
